These Terms of Use ("Terms") govern your access to and use of the Oratly mobile application, website, and related services (collectively, "Oratly" or the "Service").
Oratly is operated by Bibhuti Juyal, an individual based in Texas, United States ("Oratly," "we," "us," or "our").
By creating an account, accessing, or using Oratly, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use Oratly.
By creating an account, accessing, or using the Service, you represent and warrant that you are at least 18 years old.
Oratly is designed primarily for adults seeking to improve workplace communication and speaking skills. The Service is not directed to children or minors.
2. What Oratly Provides
Oratly is a communication-practice service designed to help users rehearse workplace conversations, speaking situations, and other communication scenarios.
Depending on the features available to you, Oratly may allow you to:
- practice workplace communication scenarios;
- respond to impromptu or "Think on Your Feet" prompts;
- record video and audio responses;
- receive transcription and automated analysis;
- receive communication scores and feedback;
- review suggestions, alternative openings, and other coaching information; and
- track or review practice activity.
Features may change, be added, or be removed over time.
3. Accounts
You may be required to create an account to use certain features.
You agree to provide accurate information and to keep your account information reasonably current.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You must notify us if you believe your account has been accessed without authorization.
You may not:
- impersonate another person;
- create an account using information you are not authorized to use;
- attempt to access another user's account; or
- use the Service for unlawful or fraudulent purposes.
4. Your Recordings and Content
Oratly may allow you to upload, create, or record video, audio, text, or other content ("User Content").
You retain ownership of your User Content.
By using features that require processing of User Content, you grant Oratly a limited, non-exclusive license to host, store, reproduce, transmit, process, analyze, and otherwise use that User Content only as reasonably necessary to operate, maintain, secure, and improve the Service and provide features you request.
For example, a recording may be processed to:
- store the recording;
- extract or process audio;
- create a transcript;
- generate communication analysis or feedback;
- display the resulting review to you; and
- troubleshoot or maintain the Service.
This license ends when the applicable User Content is deleted from our systems, except to the extent retention is required for legal, security, backup, or operational purposes.
You represent that you have the rights necessary to submit any User Content you provide.
Do not record or upload another person without having any permission required by applicable law.
5. AI-Generated Feedback
Oratly uses automated and artificial-intelligence-based systems to provide communication analysis, scores, suggestions, and other feedback.
AI-generated feedback may be inaccurate, incomplete, inconsistent, or inappropriate for your particular circumstances.
You should use Oratly's feedback as a practice and educational aid rather than as a statement of fact or a substitute for your own judgment.
Oratly does not guarantee that following any feedback will improve a specific conversation, presentation, employment outcome, professional relationship, or career result.
6. No Professional Advice
Oratly provides communication-practice and educational tools.
The Service does not provide legal, medical, psychological, employment, human-resources, financial, or other regulated professional advice.
Information or feedback generated through Oratly should not be relied upon as professional advice or as the sole basis for significant employment, legal, financial, health, or personal decisions.
7. No Guarantee of Career Outcomes
Oratly is designed to help users practice communication skills.
We do not guarantee:
- employment;
- promotions;
- raises;
- improved performance reviews;
- successful interviews;
- improved workplace relationships;
- professional recognition;
- leadership opportunities; or
- any other career or financial outcome.
Results will vary based on the user, circumstances, practice, and many factors outside Oratly's control.
8. Acceptable Use
You agree not to use Oratly to:
- violate any law or regulation;
- infringe another person's intellectual-property, privacy, publicity, or other rights;
- upload content you do not have the right to use;
- harass, threaten, exploit, or harm another person;
- distribute malware or malicious code;
- interfere with the operation or security of the Service;
- attempt to bypass security or access controls;
- reverse engineer the Service except where applicable law expressly permits it;
- scrape or systematically extract data from the Service without authorization;
- misuse automated systems or APIs associated with Oratly; or
- use the Service in a manner that could damage Oratly or other users.
We may restrict or terminate access for violations of these Terms.
9. Oratly Intellectual Property
Except for User Content, Oratly and its associated software, designs, branding, text, prompts, graphics, interfaces, features, and other materials are owned by or licensed to Oratly and are protected by applicable intellectual-property laws.
These Terms do not transfer ownership of Oratly or its intellectual property to you.
You may use the Service only for your personal or lawful business-related communication practice in accordance with these Terms.
10. Third-Party Services
Oratly relies on third-party infrastructure and service providers to operate portions of the Service, which may include hosting, authentication, storage, transcription, artificial intelligence, analytics, or other technical services.
Your use of certain features may therefore involve processing through third-party service providers acting on Oratly's behalf.

Oratly is not responsible for third-party services that you independently access outside of the Service.
11. App Store Terms
If you download Oratly through Apple's App Store, your use of the application is also subject to Apple's applicable App Store terms and the Apple Standard End User License Agreement.
Nothing in these Terms is intended to override rights or obligations that cannot legally be modified under Apple's applicable terms or applicable law.
12. Availability and Changes to the Service
We may modify, update, suspend, discontinue, or restrict all or part of Oratly at any time.
We do not guarantee that:
- the Service will always be available;
- every feature will remain available;
- processing will always complete successfully;
- recordings or feedback will always be immediately accessible; or
- the Service will be error-free.
We may perform maintenance or experience outages caused by systems outside our control.
13. Free and Paid Features
Oratly may offer free access, promotional access, paid features, subscriptions, or other service plans.
The availability and terms of any paid offering will be disclosed before you are charged.
If subscriptions or in-app purchases are offered through Apple's App Store, billing and applicable cancellation procedures may be handled through Apple under Apple's terms.
Promotional or complimentary access may be modified or discontinued in the future.
14. Suspension and Termination
You may stop using Oratly at any time.
We may suspend or terminate access to the Service if we reasonably believe that:
- you violated these Terms;
- your activity creates security, legal, or operational risk;
- your use could harm Oratly or another person; or
- suspension or termination is required by law.
Where appropriate, we may provide notice before terminating an account, but we are not required to do so where immediate action is reasonably necessary.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Oratly is provided on an "as is" and "as available" basis.
We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability to the extent permitted by law.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI-generated feedback will be accurate or suitable for every situation.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Oratly and Bibhuti Juyal will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, employment opportunities, business opportunities, data, goodwill, or other intangible losses arising from or relating to your use of the Service.
To the maximum extent permitted by applicable law, the total liability of Oratly and Bibhuti Juyal for claims arising from or relating to the Service will not exceed the greater of:
- the amount you paid to Oratly during the twelve months immediately preceding the event giving rise to the claim; or
- US $100.
These limitations apply only to the extent permitted by applicable law and do not limit liability that cannot legally be limited.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Oratly and Bibhuti Juyal from claims, liabilities, damages, losses, and reasonable costs arising from:
- your unlawful use of the Service;
- your violation of these Terms;
- your User Content; or
- your violation of another person's rights.
This provision does not apply to the extent prohibited by applicable consumer law.
18. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes arising from these Terms or the Service will be subject to the state or federal courts located in Texas.
If applicable consumer-protection law gives you the right to bring a claim in another jurisdiction, nothing in these Terms removes that right.
19. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we may provide notice through the Service, website, email, or another reasonable method.
The updated Terms will include a revised effective date.
Your continued use of Oratly after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
20. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Any unenforceable provision will be interpreted or modified only to the minimum extent necessary to make it enforceable where permitted by law.
21. Entire Agreement
These Terms, together with the Oratly Privacy Policy and any additional terms presented for a particular feature, constitute the agreement between you and Oratly concerning your use of the Service.
